Payment Terms:

Refund Policy:

  • Custom development work, once delivered, is generally non-refundable

7. Client Responsibilities

When engaging our services, you agree to:

8. AI Voice Agent Specific Terms

If you engage NetRyse for AI voice agent services, you additionally agree to:

Compliance:

  • You are responsible for ensuring your use of AI voice agents complies with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), and state-specific regulations
  • You will obtain all necessary consents before using AI voice agents to contact individuals
  • You will not use AI voice agents for illegal telemarketing, spam, harassment, or fraud

Representations:

  • AI voice agents will represent themselves appropriately as directed by you
  • You are responsible for the accuracy of information the AI agent provides on your behalf
  • NetRyse is not responsible for business decisions made based on AI agent interactions

Usage:

  • You will not use AI voice agents to deceive, mislead, or defraud callers
  • You will not use AI voice agents for any illegal purpose
  • You will provide accurate business information for the AI agent to use

Limitations:

  • AI technology is not perfect and may occasionally produce errors
  • NetRyse does not guarantee specific business outcomes or results
  • You acknowledge that caller experience may vary

9. Intellectual Property

NetRyse Property:

  • All content on the NetRyse website, including text, graphics, logos, images, and software, is the property of NetRyse or its licensors
  • Our proprietary systems, processes, and methodologies remain our intellectual property
  • You may not copy, reproduce, distribute, or create derivative works from our content without written permission

Client Property:

  • You retain ownership of your business name, logo, brand assets, and any materials you provide to us
  • You grant NetRyse a limited license to use your materials solely for the purpose of providing services to you

Work Product:

  • Ownership of work product (deliverables) will be specified in your Service Agreement
  • Generally, upon full payment, you will own the custom work created specifically for your business
  • NetRyse retains the right to use general knowledge, skills, and non-confidential elements in future work
  • NetRyse may request permission to use your project as a case study or portfolio piece

10. Confidentiality

Both parties agree to:

  • Keep confidential any proprietary or sensitive information shared during the engagement
  • Not disclose confidential information to third parties without written consent
  • Use confidential information only for the purposes of the engagement
  • Return or destroy confidential information upon request or termination

Confidential information does not include information that:

  • Is publicly available through no fault of the receiving party
  • Was known to the receiving party prior to disclosure
  • Is independently developed without use of confidential information
  • Is required to be disclosed by law

11. Limitation of Liability

To the maximum extent permitted by law:

  • NetRyse shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • NetRyse shall not be liable for lost profits, lost revenue, lost data, or business interruption
  • NetRyse's total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
  • NetRyse is not liable for any third-party actions, products, or services

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

12. Disclaimer of Warranties

14. Termination

Termination by You:

  • You must provide written notice of termination as specified in your Service Agreement

Termination by NetRyse:

  • We may terminate or suspend access to our website or services at any time, with or without cause
  • We may terminate services immediately if you breach these Terms or your Service Agreement
  • We may terminate if required by law or if continuing would be impractical

Effect of Termination:

  • Upon termination, your right to use our services ceases immediately
  • Provisions that by their nature should survive termination will survive (including confidentiality, limitation of liability, and indemnification)
  • Termination does not relieve you of payment obligations for services already rendered

15. Dispute Resolution

Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which NetRyse operates, without regard to conflict of law principles.

Informal Resolution:

Before initiating formal dispute resolution, you agree to contact us at netryse@gmail.com to attempt to resolve any dispute informally. We will attempt to resolve disputes within 30 days.

Arbitration:

If we cannot resolve a dispute informally, any dispute arising from these Terms or our services shall be resolved through binding arbitration, except for claims that qualify for small claims court. Arbitration shall be conducted on an individual basis, not as a class action.

Waiver of Jury Trial:

Both parties waive any right to a jury trial in any dispute arising from these Terms or our services.

16. General Provisions

Entire Agreement:

These Terms, together with any Service Agreement, constitute the entire agreement between you and NetRyse regarding the subject matter herein.

Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver:

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it later.

Assignment:

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.

Force Majeure:

NetRyse shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/power outages.

Headings in these Terms are for convenience only and do not affect interpretation.
